Licensor: TenderStandard UK, company number [YOUR COMPANY NUMBER], registered at [YOUR REGISTERED ADDRESS].
Licensee: The single business named on the purchase receipt.
Effective date: Date of purchase.
Version covered: UK FM Tender Toolkit v1.x and any minor updates issued within version 1.
1. What you can do
- Download and install the toolkit files on devices used by employees, directors, and bona fide contractors of the Licensee business.
- Edit, adapt, and restructure any template, tracker, prompt, or guide for use in the Licensee's own tender submissions.
- Include adapted content from the templates inside tender responses submitted by the Licensee (this is the intended use).
- Retain and reuse edited versions across multiple bids within the Licensee business.
2. What you cannot do
- Redistribute, resell, sublicense, share, or publish any of the original files (edited or unedited) to any third party.
- Upload the files or any substantial portion of them to any public or shared repository, training dataset, prompt library, file-sharing site, or generative AI training corpus.
- Use the toolkit to create a competing product, course, template pack, or bid consulting service that incorporates the original text or structure.
- Provide toolkit access to bid consultants, agencies, or freelancers who are not working exclusively on Licensee-owned bids. (They must buy their own licence.)
- Claim authorship of the templates or the toolkit itself.
- Remove copyright notices, author credits, or placeholder blocks that identify the toolkit as source material.
3. Tender submissions
Content from the templates, once adapted into a live tender response, is yours to use freely within that submission. You do not need to credit the toolkit inside a tender response. The restrictions in section 2 apply to the toolkit files themselves, not to bid responses you write using them.
4. No guarantees
- The toolkit is provided "as is". It is an aid to structuring tender responses, not a guarantee of any commercial outcome.
- TenderStandard UK gives no warranty that any bid produced with the toolkit will be successful, compliant with any specific procurement framework, or suitable for any specific tender.
- Every reference in the templates to standards, accreditations, procurement processes, or legal obligations is generic and must be independently verified against the specific tender documents the Licensee is responding to.
- Nothing in the toolkit is legal, commercial, procurement, or tax advice.
5. Liability
- To the fullest extent permitted by law, TenderStandard UK's total liability to the Licensee under or in connection with this licence is limited to the amount paid for the toolkit.
- TenderStandard UK is not liable for any loss of contract, loss of revenue, loss of profit, loss of anticipated savings, loss of goodwill, or any indirect or consequential loss arising from use of the toolkit.
- Nothing in this licence limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under English law.
6. Updates
- Minor updates within version 1.x (typo fixes, added examples, new prompts) are included.
- A new major version (2.0 or later) may be a paid upgrade. You will be notified in advance.
7. Termination
- This licence terminates automatically if you breach section 2. On termination, you must stop using the toolkit files and delete any stored copies.
- Content already submitted inside live tender responses before termination is not affected.
8. Governing law
This licence is governed by the laws of United Kingdom. The courts of United Kingdom have exclusive jurisdiction.
